1. Acceptance of Terms
These Terms & Conditions govern access to and use of the Zelox Systems website, communications, consultations, and services. By accessing or using the website, or by purchasing or using Zelox Systems services, you agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you should not use the applicable website or services. Your use of the website or services following any changes to these Terms constitutes your acceptance of those changes.
Additional written agreements, proposals, order forms, statements of work, or service agreements may apply to paying Zelox Systems customers. If there is a conflict between these general website Terms and a separately executed written customer agreement, the separately executed agreement will control with respect to the subject matter it covers.
2. About Zelox Systems
Zelox Systems provides technology-enabled business automation and customer communication solutions. Services may include:
- Lead response automation
- Lead follow-up
- Missed-call response
- Customer communication
- Lead and opportunity organization
- Appointment scheduling and reminders
- Estimate or quote follow-up
- Review-request automation
- Customer reactivation
- CRM-related configuration
- Custom automation
- Marketing-related services when separately purchased
- Related consulting, setup, implementation, and support
The services available to a particular customer depend on the customer's purchased package, configuration, and any written agreement. Not every feature is included with every Zelox Systems service.
3. Eligibility and Business Use
Zelox Systems services are primarily intended for businesses and persons authorized to act on behalf of businesses. Users represent that the information they provide is accurate and that they have the authority to provide information or enter agreements on behalf of the business they represent.
Users must be at least 18 years old, or the age of legal majority in their jurisdiction. By using the website or services, you represent that you meet these requirements.
4. Consultations and Information Submitted
Submitting an inquiry or scheduling a consultation does not create a client relationship or guarantee that Zelox Systems will accept the business as a customer. Zelox Systems may evaluate whether its services are appropriate for a prospective customer based on the information provided.
Information submitted through consultation forms must be accurate to the best of the user's knowledge. Zelox Systems may contact prospective customers using the contact methods and permissions they have appropriately provided.
5. SMS / Text Messaging Terms
This section is important and applies to anyone who enrolls in Zelox Systems text messaging.
Zelox Systems SMS Program
Individuals who voluntarily opt in to receive SMS communications from Zelox Systems may receive recurring text messages related to their inquiry, consultation, requested services, appointment or scheduling information, service-related communications, follow-up, and, where separately and appropriately consented to, marketing or promotional communications.

Additional recognized opt-out keywords may also be honored where supported. Opting out of SMS does not necessarily prevent Zelox Systems from communicating through other lawful methods for which it has permission, such as email or telephone.
Voluntary Consent
Consent to receive SMS messages is voluntary and is not a condition of purchasing goods or services from Zelox Systems. Users should only enroll a mobile number they own or are authorized to use. SMS consent must not be treated as consent to unrelated messaging programs.
Message Types
Depending on the user's consent and relationship with Zelox Systems, messages may include responses to inquiries, consultation scheduling, appointment confirmations, appointment reminders, follow-up regarding requested information, service-related updates, customer support communications, information about Zelox Systems services, and promotional or marketing communications only where the appropriate consent has been obtained. Not every subscriber receives every message type.
Message Frequency
Message frequency varies depending on the user's interactions with Zelox Systems, services requested, scheduled appointments, and applicable messaging preferences.
Opting Out
Users may opt out of SMS communications at any time by replying STOP to a Zelox Systems text message. After an opt-out request is processed, the user should no longer receive messages from the applicable SMS program unless they subsequently provide valid consent to re-enroll.

Carrier Disclaimer
Wireless carriers are not liable for delayed or undelivered messages.
Delivery
SMS delivery is subject to effective transmission by wireless carriers and service providers and cannot be guaranteed. Zelox Systems does not guarantee that every message will be received immediately or at all.
Supported Devices / Carriers
Availability may depend on the user's wireless carrier, device, service plan, and geographic location.
SMS Privacy
SMS participation is also governed by the Zelox Systems Privacy Policy. Zelox Systems does not sell SMS consent information.
6. Email Communications
Users may receive transactional, service-related, or other permitted email communications. Marketing emails, where applicable, should contain an appropriate unsubscribe mechanism where required by law.
Unsubscribing from marketing email may not prevent delivery of necessary transactional or service communications.
7. Customer Responsibilities
For customers using Zelox Systems services, customers are responsible for:
- Providing accurate business information
- Providing accurate services, pricing, hours, and scheduling information
- Reviewing and approving customer-facing messaging where applicable
- Maintaining lawful business practices
- Responding to customers when human involvement is needed
- Maintaining appropriate licenses and permissions for their own business
- Ensuring their offers, claims, services, and communications comply with applicable law
- Providing lawful access to systems or accounts required for implementation
- Maintaining appropriate consent for communications where the customer supplies or imports contact data
Customers may not use Zelox Systems services for unlawful, deceptive, abusive, fraudulent, harassing, or unauthorized communications.
8. Customer Contact Data and Consent
When a Zelox Systems customer provides, imports, uploads, connects, or otherwise makes customer/prospect contact information available for use with Zelox Systems services, that customer represents that it has the rights, permissions, and lawful basis necessary for the intended use of that information.
Customers are responsible for complying with applicable communications, telemarketing, privacy, advertising, and consent requirements applicable to their business and intended messaging. Zelox Systems may assist with technical configuration and general compliance-oriented features, but customers remain responsible for the legality and accuracy of their own campaigns, contact lists, offers, and communications.
Zelox Systems does not guarantee legal or regulatory compliance for any customer's specific use case.
9. Third-Party Services and Integrations
Zelox Systems services may rely on or connect with third-party technology providers. These may include providers related to telecommunications, SMS, email, hosting, scheduling, CRM functionality, payment processing, advertising, analytics, integrations, and other infrastructure.
Third-party services may experience downtime, delays, service interruptions, API changes, policy changes, feature changes, or delivery failures. Zelox Systems does not control third-party providers and cannot guarantee uninterrupted availability of third-party services.
10. Automation Limitations
Automation is intended to assist business processes but cannot account for every possible customer interaction or circumstance. Automated communications may require human review or intervention.
Customers remain responsible for monitoring their business operations and handling circumstances that require human judgment. Zelox Systems does not represent that automation eliminates the need for employees, customer service, sales personnel, management oversight, or other human involvement.
11. No Guarantee of Business Results
Zelox Systems does not guarantee:
- A particular number of leads
- A particular number of appointments
- Increased revenue
- Increased profit
- Increased conversion rates
- Customer responses
- Positive reviews
- Advertising results
- Customer retention
- Specific return on investment
Results depend on numerous factors outside Zelox Systems' control, including market conditions, lead quality, pricing, competition, reputation, sales process, employee performance, customer service, services offered, advertising, customer demand, and customer decisions. Zelox Systems provides systems and services designed to improve process consistency and automation but does not guarantee specific commercial outcomes.
12. Fees and Payment
Paid Zelox Systems services are subject to the pricing, setup fees, recurring fees, usage charges, payment schedule, and other terms disclosed at purchase or in the applicable proposal, order form, or customer agreement. Certain telecommunications, messaging, email, AI, integration, or other usage-based charges may apply depending on the customer's configuration.
Customers are responsible for applicable charges they authorize under their service agreement. Specific refund, cancellation, minimum-term, and termination policies should be governed by the applicable purchase terms or customer service agreement where provided.
13. Intellectual Property
The Zelox Systems website and Zelox-owned materials may include branding, logos, website content, copy, graphics, documentation, processes, templates, automation structures, configuration methods, training materials, and other proprietary materials. These remain the property of Zelox Systems or their applicable licensors and are protected by applicable intellectual-property laws.
Users may not copy, reproduce, distribute, resell, reverse engineer, republish, or commercially exploit Zelox Systems proprietary materials except as expressly authorized in writing. Zelox Systems does not claim ownership over third-party software or customer-owned materials.
14. Client Content
Customers retain applicable rights to their own business names, logos, customer data, copy, media, and other materials they provide to Zelox Systems. Customers grant Zelox Systems the limited rights necessary to use those materials to provide the requested services. Customers represent that they have the necessary rights to materials they provide.
15. Acceptable Use
Users may not use the website or services to:
- Violate applicable law
- Send unlawful or unauthorized messages
- Harass or threaten others
- Commit fraud
- Misrepresent identity
- Distribute malicious software
- Attempt unauthorized system access
- Interfere with service operation
- Infringe intellectual-property rights
- Circumvent security controls
- Send prohibited or abusive messaging traffic
- Use purchased, rented, scraped, or otherwise unlawfully obtained contact lists
- Engage in spam or deceptive marketing practices
Zelox Systems may suspend or terminate access when reasonably necessary to protect the service, third parties, telecommunications networks, or comply with applicable requirements.
16. Website Availability
Zelox Systems attempts to maintain the website and services but does not guarantee uninterrupted or error-free operation. The website or services may be unavailable due to maintenance, technical problems, third-party outages, security issues, internet disruptions, force majeure events, or other circumstances outside reasonable control.
17. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the website and services are provided on an "as available" basis. Zelox Systems disclaims warranties not expressly provided in a separate written agreement. This disclaimer does not attempt to disclaim warranties that cannot legally be disclaimed.
18. Limitation of Liability
To the maximum extent permitted by applicable law, Zelox Systems will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of the website or services. Additional or different liability limitations may apply under a separately executed customer agreement.
This limitation does not apply where liability may not be limited under applicable law.
19. Indemnification
To the extent permitted by applicable law, users and customers agree to indemnify and hold Zelox Systems harmless from third-party claims arising from:
- Their unlawful use of the services
- Content or data they provide
- Their violation of applicable law
- Their violation of third-party rights
- Unauthorized messaging or marketing activities
- Their breach of these Terms
Separately executed customer agreements may contain additional indemnification provisions.
20. Suspension and Termination
Zelox Systems may suspend or terminate access where reasonably necessary due to:
- Nonpayment
- Material breach
- Fraud
- Abuse
- Security concerns
- Unlawful activity
- Messaging-policy violations
- Third-party provider requirements
- Risk to Zelox Systems, users, telecommunications networks, or others
Customer-specific termination rights and obligations may be further addressed in a separate written agreement.
21. Third-Party Links
The website may contain links to third-party websites or services. Zelox Systems is not responsible for third-party content, availability, policies, security, or practices.
22. Privacy
Use of the website and services is also subject to the Zelox Systems Privacy Policy.
23. Changes to These Terms
Zelox Systems may update these Terms from time to time. Changes will be reflected through the "Last Updated" date. Where appropriate, material changes may be communicated through reasonable methods. Continued use following an effective update constitutes acceptance to the extent permitted by applicable law.
24. Governing Law

27. No Waiver
Failure by Zelox Systems to enforce a provision does not constitute a waiver of the right to enforce it later.
28. Entire Agreement
These Terms and the Privacy Policy constitute the agreement regarding general website use. For paying customers, applicable proposals, order forms, statements of work, and separately executed customer agreements may form additional parts of the agreement governing services.
